CORPORATE GOVERNANCE GUIDELINES

 
 

The Atacama Resources International Leadership Team is comprised of leaders with vast experience in starting up and nurturing businesses in Canada and the U.S. The following set of Corporate Governance Guidelines is derived from the collective wisdom of ACRL Leadership Team members.

 
 
 

CORPORATE OFFICERS

The primary officers of the Corporation shall be the President/Chief Executive Officer. Vice President/Secretary/Chief Operating Officer and the Treasurer/Chief Financial Officer. These Officers are the members of the ACRL Executive Leadership Team.

BOARD OF DIRECTORS

A Board of Directors shall be established and chartered to provide strategic guidance to the Corporation in matters pertaining to growth, fiscal health and adherence to ACRL’s Guiding Values and Code of Ethics. The Board will be comprised of ACRL’s Executive Officers and external members selected for their unique experience in helping new businesses to achieve success. 

TRANSITION MANAGEMENT

Entreprenal leadership is essential for  all new businesses. However, we recognize that there needs to be a gradual transition from pure entrepreneurship to a systematically managed structure as the business matures. ACRL’s founding executives understand the need for this transition and are planning for the changes that will assure successful transition.

 
 

CONTINUOUS LEARNING

We utilize the collective experience of our employees, advisors, partners  - and welcome feedback from our stakeholders and customers in order to improve performance and  grow as an organization. 

CONTROLLED GROWTH

The nature of our intended businesses will often require rapid actions to seize opportunities. While we recognize the need for speed, we stay within our fiscal and human resource capabilities.  We will not let the organization become top heavy, and ensure we keep our structure and staffing lean.

ACCOUNTABILITY

We  hold each other accountable when it comes to expected results of agreed task assignments and on-going responsibilities. We make sure that assignments and responsibilities are clearly communicated and understood. We entrust adequate levels of authority so that assigned tasks and responsibilities can be carried out effectively. 


COMMUNICATION

All-directional communication is essential for the success of any governance structure. We establish minimum critical specifications for progress and results reporting as well as communication protocols for on-going business operations. We are accountable to each other for following these specifications and protocols.
